Bylaws
Article I
(Name)
Section 1 This organization shall be known as
EXTREME OFFROADERS 4 WHEEL DRIVE CLUB LTD.
(Emblem)
Section 2 The emblem, a copy of which is annexed
here; shall be the emblem of the club.
(Fiscal Year)
Section 3 The fiscal year of the club shall
terminate on the 31st day of December
in each year.

Article II
(Scope)
Section 1 This shall be a non-profit
organization whose membership shall
have recognized their mutual
interests, and have joined together to
further the objectives and purposes as
forth in Article III.

Article III
(Objectives)
Section 1 The purpose and objectives of this organization
shall be set forth as follows.
A. Provide educational, recreational and social
activities for its membership.
B. Participate in and support civic activities for
the betterment of the community.
C. To protect and enjoy the natural resources and
support the multiple use principals as applied to
public land.
D. To promote interest in the ownership and driving
of four wheel drive trucks and/or cars.
(NOT ATV's)
E. To promote, organize and hold meetings, outings,
runs, excursions, reliability trials, hill climbs,
cross-country trips, races and similar events.
F. To offer awards and prizes for various
accomplishments of the membership.
G. To accept any call from any law enforcement
agency, fire department, civil defense corps or
other similar organization for the purpose of
assisting them in the case of an emergency and to
execute this call to the best of our ability.

Article IV
(Membership and Dues)
Section 1 Owners or prospective owners of 4 wheel drive
trucks or cars for on/off road use are eligible
for membership. This does not include ATV cycles.
Section 2 Each prospective member shall pay an initiation
fee for the 1st year of membership. They will
also pay annual dues for a single adult (this will
include any minor children of the adult). The
significant other of a member may also join for an
additional fee. The 2nd member must be a minimum
of sixteen (16) years of age.
Section 3 Applicants of membership must hold valid drivers
license and have liability insurance on there
vehicles and be a minimum of eighteen (18) years
of age. This will not apply to the second member
on an application, the second member must be a
minimum of sixteen (16) years of age.
Section 4 Applicant for membership shall fill out an
application and submit it to the Treasurer along
with the $25.00 initiation fee and the appropriate
membership fee.
Section 5 Persons who have been members in good standing for
three (3) months or more before an election will
be eligible to hold an office. The three (3)
month rule may be waived by a majority of the
executive board.
Section 6 Yearly renewal dues are due at the January
meeting. Any existing renewal memberships not
paid at the February meeting will have a $5.00 per
month late fee added for each month they are late.
No existing memberships will be accepted after the
April meeting. Existing memberships not paid by
the April meeting will be treated as new
membership. See Sections 2 and 4. A majority of
the executive board may amend this section on a
case by case basis. New memberships will be
accepted throughout the year. The executive board
may prorate the yearly dues of a new member after
the June meeting.
Section 7 All members must conduct themselves in a
respectable and orderly manner in or out of the
club activities. Any member disgracing the club
in the public eye as determined by the Executive
board shall be subject to expulsion with no chance
for reinstatement or refund of any monies.
Section 8 Any member inducted into the Armed Forces shall be
given a leave of absence, but will remain on the
roll call and be exempt from paying dues until the
termination of their active duty at which time
they will be reinstated with all member rights
until the end of their reinstatement year. They
will also be exempt from the initiation fee with
renewal the following January.
Section 9 Members shall be responsible for notifying the
Secretary upon a change of address or telephone
number to insure delivery of the newsletter.
Section 10 Applicant for new membership or reinstatement must
attend one regular meeting before a membership
application can be issued.
Section 11 Changes to dues or fees can be made at anytime
with the approval of the majority vote of the
membership.

Article V
(Charter Members)
Section 1 Members (listed) who adopt and sign this document
known as THE BY-LAWS OF THE EXTREME OFFROADERS 4
WHEEL DRIVE CLUB LTD shall be known as the Charter
Members of the club. (Charter members are listed
on the back page of this document.)

Article VI
(Honorary Members)
Section 1 Persons selected for Honorary Membership shall be
granted such only upon acceptance by a majority of
the membership. Honorary Memberships shall lapse
at the January meeting unless renewed by the
membership. Honorary Members shall have no rights
to vote, hold office, to receive notice of monthly
meetings or receive newsletters. They will also
have no obligation to pay dues or initiation fee.

Article VII
(Meetings)
Section 1 Meetings of the regular membership shall not
average less than one (1) per month. Meetings
shall be at such times and places as set forth by
the Board Of Directors.
Section 2 One quarter (1/4) of the active membership shall
constitute a quorum, a membership meeting to
include one officer and one board member or
alternate. No business shall be transacted at any
meetings unless the requisite quorum shall be
present at the commencement of such business.
Section 3 In the absence of the President and Vice
President, the members present at any meeting of
members shall choose another as Chairperson, and
if no officer is present or if all the officers
present decline to act as Chairperson, the members
present shall choose one of their numbers to be
Chairperson.

Article VIII
(Voting)
Section 1 Except as otherwise provided in the Constitution,
every question submitted to any meeting of members
shall be decided by a majority of votes given on a
show of hands. In cases of an equality of votes,
the Chairperson shall both, on a show of hands and
at a poll, have a second or casting vote. At any
meeting, unless a poll is demanded, a declaration
by the Chairperson that a resolution has been
carried or carried unanimously or by a particular
majority is conclusive evidence of the fact
without proof of the number of propotion of votes
recorded in favor or against the motion.

Article IX
(Administration and Officers)
Section 1 The officers of Extreme Offroaders 4 Wheel Drive
Club LTD. Shall consist of the President, Vice
President, Secretary and Treasurer and shall be
known as the Executive committee. It shall be
their duty to draw up an agenda for all board and
membership meetings and it shall be their further
duty to assume the functions of the board of
directors in cases of emergency. Other elected
offices shall be: Membership director, Midwest
delegate and Wisconsin delegate. Those officers
may also hold multiple offices but will not be
considered part of the Executive Committee or
Board of Directors solely by these offices.
Section 2 No member may hold more than one (1) of the four
(4) Executive Offices. These being President,
Vice President, Secretary and Treasurer.
Section 3 The Board of Directors shall consist of the
members of the Executive Committee and the
immediate past President plus one board member for
the first forty (40) members and another for every
thirty (30) thereafter.
(Include all membership status)
Section 4 The President, Vice President, Secretary and
Treasurer may serve in their respective capacity
for no more than two successive terms. Serving as
an officer or director for part of a term due to
vacancy shall not constitute a term. Two years
shall constitute one term. Vice President and
Secretary shall be a one (1) year term for the 1st
year of the club, thereafter they shall be two (2)
year terms. (May be waived by majority vote.)
Terms for the additional board members are as
follows: Odd numbered board members shall be on
the same voting term as Vice President and even
numbered board members shall be on the same voting
term as the President. 1st added board member
being odd, 2nd being even, etc. Initial board
member to go one year, 2nd to go two (2) years and
thereafter at one (1) year each.

Article X
(Duties and Powers of Officers)
Section 1 The president shall provide over all membership
and Board of Directors meetings, and be present at
all events when possible. He/She shall have the
duty to carry out the policies and decisions of
the Board of Directors, except in the event of a
tie.
Section 2 The Vice President shall be responsible for all
equipment owned by the club and shall maintain a
quarterly inventory for such equipment. At such
time as the office changes hands, the inventory
shall be turned over to the new Vice President.
Section 3 The Secretary shall keep and preserve all records
and minutes of the meetings of the regular
membership and the Board of Directors, shall
assume the responsibilities of ledger roll call
and determine the number of voting members present
so it may be known if a quorum is in attendance,
shall keep a file system of membership, and shall
receive and answer all correspondence pertaining
to the organization.
Section 4 The Treasurer shall keep accurate and complete
records of the funds and accounts of this
organization and shall collect all dues. He/She
shall make only such disbursements from the funds
as are directed by the Board of Directors upon
elections, and all elections thereafter.
Section 5 Elected board members shall be responsible for
overseeing all committees as appointed by the
president. All committee chairpersons are
responsible for reporting to their appointed
elected board member.
Section 6 The Trailmaster will not be required to attend all
trail rides or even schedule them. He/She shall
be the contact for all club organized trail rides
and shall be the contact and mediator for any
problems arising on any club trail rides.
Section 7 The Membership Director will have all material
related to becoming a member and the ordering of
all clothing and club related merchandise and
maintaining an inventory of such.
Section 8 Midwest and Wisconsin delegates will be
responsible for attending their respective
meetings at the spring and fall convention. They
will also be responsible for reporting back to the
membership what they learned.

Article XI
(Expenditures and Finance)
Section 1 All monies received from all sources shall
immediately be turned over to the Treasurer to be
deposited in an account of the club in a
depository approved by the Board of Directors.
Section 2 Withdrawals up to $150.00 shall be made with the
approval of the board of directors. Single
expenditures in excess of $150.00 must have the
approval of the majority approval of a voting
quorum of the membership. All expenditures
require a receipt. All expenditures shall be made
by check.

Article XII
(Committees)
Section 1 Committees shall be assigned by the Board of
Directors. Each committee membership shall be
appointed by the President who, with the approval
of the Board of Directors will appoint a
chairperson.

Article XIII
(Elections)
Section 1 The membership shall meet and elect Officers and
Directors each fiscal year at the December
meeting. The newly elected Officers shall take
office on the first (1st) of January. Voting
shall be in the person and not by proxy or mail.
Section 2 Nominations for each and every office of this
organization shall be made from the floor and will
be accepted by the nominee.
Section 3 Balloting for each office shall be in separate
successive sequence and will be held by secret
ballot. All ballots for officers shall be audited
by three (3) members other than the nominees,
appointed by the President.
Section 4 A majority of votes cast is necessary for election
to an office or position on the Board of
Directors.
Section 5 In the event of a vacancy in the office of
President, Vice President, Secretary or Treasurer,
and election shall be held to elect a successor.

Article XIV
(Removal of Officers)
Section 1 The members of the club may, by resolution passed
by at least two-thirds (2/3) of the members
present in person at a regular meeting duly held,
remove any officer before the expiration of
his/her term.

Article XV
(Events)
Section 1 All members, officers and guests are responsible
to the direction of the appointed Tripleader and
his assistants from the set time of the beginning
of the trip to the termination.
Section 2 All events must be conducted in an orderly manner
and with safety as the prime factor. Any event
held on private property will be subject to
liability releases.
Section 3 No member or guest under the age of eighteen (18)
years of age will be permitted to drive in any
event unless accompanied by parent or guardian.
Section 4 All competitive events shall be under the
authority and supervision of the Board of
Directors present. The Events Committee shall
determine entrance classifications and regulations
for various events and shall provide trophies and
awards to be presented. Anyone determined to be
physically or mentally disturbed or under the
influence of alcohol at any time of an event shall
be disqualified. At the discretion of the Safety
Committee, vehicles may be subject to a technical
inspection varying according to the type of event
and shall be disqualified if found to be
mechanically unsafe.
Section 5 All members and guests participating in an event
shall abide by the Motor Vehicle Code of the State
concerned and the laws and regulations of City,
County or Circumstances involved. The welfare
and reception of the club depends upon the
character it gains with the local, city, county,
state, and federal authorities. Any flagrant
violation of the code is sufficient cause for
removal of membership privileges, subject to
decision by the Board of Directors.
Section 6 All events will be carried out with the rules of
"Tread Lighlty" being highest priority.

Article XVI
(Rules and Procedures)
Section 1 Unless otherwise specified in these by-laws,
Roberts Rules of Order Revised shall govern
parliamentary procedures.

Article XVII
(Amendments)
Section 1 These laws may be amended by majority vote at a
regular membership meeting, a quorum being present
(a quorum being 25%) of the membership and voting.
Any amendment to the bylaws must be presented to
the membership at the regular membership meeting
preceding that in which the vote is taken and
must be included in the newsletter for the meeting
in which it is to be voted on.

Article XVIII
(Dissolution)
Section 1 If it should be deemed advisable in the judgement
of the Board of Directors or of the members that
this organization shall be dissolved, such
proposal shall be submitted to the members voting,
the Board of Directors shall become trustees in
order to terminate the affairs of the Club. No
member of this club shall have any individual
rights in any parts of the assets of this
organization. The trustees shall dispose and
distribute the assets of the organization only for
one (1) or more of the purposes with the meaning
of Section 501 of the Internal Revenue Code of
1954.
Section 2 All equipment will be divided among all remaining
members. If any disagreements arise concerning
distribution, items will be sold at auction with
monies being donated to an organization decided
upon by the Board of Directors. Any remaining
funds/monies shall be donated to an organization
decided upon by the Board of Directors.
